Shares of Dollar Tree Inc. rose 0.5% in morning trading Tuesday, after the discount retailer said four of its 12 corporate officers have left the company and that Chief Financial Officer Kevin Wampler will also leave, while reaffirming its fiscal 2022 financial outlook. The company said CFO Wampler will transition out of his role once a successor is appointed, and will remain with the company as an advisor until April 2023. Chief Executive Mike Witnyski said the officer departures were part of company''s plan to bring "new perspectives and experiences" to help accelerate implementation of value creation initiatives. Dollar Tree Inc. announced a checklist of new corporate governance guidelines on Wednesday, including one that will allow stockholders with 15% or more of the company''s common stock to call special meetings. There''s also a new timeframe for shareholder nominations of directors and proposals of business: "no earlier than 120 days and no later than 90 days before the anniversary of the prior year''s annual meeting." Director candidates must not serve on more than four other corporate boards under the new rules, unless the candidate is chief executive. Then they shouldn''t serve on more than two others.
